21st CENTURY HOLDING COMPANY REPORTS RECORD FIRST QUARTER EARNINGS OF $0.88 PER SHARE AND BEATS GUIDANCE

21st Century Holding Company (Nasdaq: TCHC), today reported record results for the quarter ended March 31, 2006 (see attached tables).

For the three months ended March 31, 2006, the Company reported net income from continuing operations of $6,013,312, or $0.88 per share on 6,844,859 undiluted shares outstanding, versus net income from continuing operations of $4,785,676 or $0.78 per share on 6,152,548 undiluted shares outstanding in the same three-month period last year. These results beat Company guidance of $0.80 per share by 10% or $0.08 per share. On a diluted share basis, the Company reported first quarter earnings from continuing operations of $0.83 per share, based on 7,238,311 average diluted shares outstanding as compared to $0.73 per share from continuing operations on 6,532,023 average diluted shares outstanding for the same three-month period last year.

During the three months ended March 31, 2005 the Company sold its interest in one of its subsidiaries, Express Tax Service, Inc. The sale generated a one-time gain of $1,034,604 or $0.17 per share on an undiluted basis or $0.16 per share on a fully diluted basis.

Total homeowner revenues increased $7.2 million or 45.1% to $23.1 million for the three months ended March 31, 2006, as compared to $15.9 million for the same three-month period last year.

Total commercial general liability revenues increased $3.1 million or 59.4% to $8.2 million for the three months ended March 31, 2006, as compared to $5.1 million for the same three-month period last year.

Edward J. (Ted) Lawson, Chairman, CEO, and President, said, The first quarter reflected the continued growth of our general liability and property lines of business. The second quarter is now showing an acceleration of that growth and we expect the second quarter to be stronger than the first. The Company is now guiding to earnings of $0.90 per share in the second quarter 2006 and the yearly guidance of $4.00 per share is hereby affirmed.

About the Company

The Company, through its subsidiaries, underwrites standard and non-standard personal automobile insurance, flood insurance, general liability insurance, mobile home insurance and homeowners’ property and casualty insurance in the State of Florida. The Company underwrites general liability coverage as an admitted carrier in the States of Louisiana, Texas and Alabama for more than 300 classes of business, including special events, as well as homeowners’ coverage in the State of Louisiana. The Company also operates as an approved (non-admitted) carrier in the States of Georgia and Kentucky offering the same general liability products.
